Before your transaction can be completed, you must read and agree to these terms and conditions (“Terms”). By applying for access and/or services from Black Umbrella Studio’s website, you are agreeing to these terms and conditions, and you are agreeing to be legally bound by them. These Terms are subject to changes at any time. Changes are effective when posted on this website without notice to you.

Preamble

1. Subscriber data is for internal use only and will be treated confidential.
2. All transactions are SSL encrypted.
3. Subscriber’s credit card will be billed immediately after purchase.
4. After purchase, the subscriber will receive an email notification with all payment details.
5. The contract is closed between the customer and the online shop on this website as soon as the order is submitted.
6. All orders will be processed immediately.
7. All questions will be answered within two (2) working days.
8. We recommend printing out the transaction data and Terms and keeping them at an easily accessible place.
9. Prohibited for people under the legal age in their respective country.

Definitions

– Access rights: The combination of a unique username and password used to access this Website, granted as a license for a specified period.
– Black Umbrella Billing: Black Umbrella Billing, and/or any stripe billing companies used by Black Umbrella Billing or changes thereof.
– Black Umbrella or Merchant or Controller: Black Umbrella Studio the controller of this Website.
– Bookmarking: A URL placed into a temporary file on the subscriber’s browser for future access without re-entering login credentials.
– Member or Membership: The subscriber or user of a valid username and password for the website during the term of membership.
– Subscriber: The user of the services of this Website and holder of a valid username and password.
– Website: The website for which a Subscriber is purchasing a username and password.

Description of Services

Black Umbrella Studio will provide one access right to access this Website and its materials for which the Subscriber is purchasing a membership.

Billing

– Stripe, Black Umbrella, BUS, Studio  may appear on the Subscriber’s credit card statement for all applicable charges.
– Tax: Value-Added Tax (VAT), Sales tax, or other excise tax may be included in or added to your purchase depending on your location.
– Payment/Fee: The Website may impose periodic subscription fees at the time of the initial enrollment.

Automatic Recurring Billing (If Selected By Subscriber On The Sign-Up Page)

– Subscription fees will be automatically renewed unless notice of cancellation is received.
– In the event of a failed attempt to charge the Subscriber’s payment method, Black Umbrella Billing reserves the right to retry charging the Subscriber’s payment method.
– An administration fee of up to $20.00 may be applied to keep a subscription temporarily active until the next attempt to process the recurring payment.

Electronic Receipt

Subscribers will receive an email receipt upon initial subscription. Subsequent transactional updates may be communicated through the members’ area on this Website.

Cancellation

– Subscription may be terminated by Black Umbrella, the Controller, or the Subscriber upon notification to the other.
– Subscribers are liable for charges incurred until the termination date.
– Refunds or credits will not be issued for partially used Memberships.

Refunds

Refunds for purchases or recurring charges may be requested by contacting customer support. Refunds or credits will not be issued for partially used Memberships.

Cardholder Disputes/Chargebacks

All chargebacks are thoroughly investigated. Fraud claims may result in contacting Subscriber’s issuer to protect Subscriber and prevent future fraudulent charges.

Authorization of Use

– Subscribers are authorized a single Access right for personal use.
– Commercial use is strictly prohibited unless explicitly authorized by this Website.
– Access rights may be terminated if these Terms are breached.

Transfer of Access Rights

– Subscribers may not release their Access rights to any other person.
– Unauthorized access is a breach of these Terms.
– Subscribers must immediately notify Black Umbrella Billing or the Controller of any security breach.

Sanction and Approval of Adult Material

– This Website may contains age-restricted materials.
– Subscribers under the age of majority are not authorized to access the Website.

Supplementary Terms and Conditions

– The Website may have additional terms, which do not invalidate these Terms.
– These Terms shall be construed and enforced in accordance with the laws of the State of Alabama.
– Disputes shall be settled in the Alabama State.

Severability

If any provision of these Terms is held invalid, the remaining provisions shall continue to be valid and enforceable.

Notice

Notices may be given by means of electronic messages, general posting on this Website, or conventional mail. All questions, complaints, or notices must be directed to the Controller.

Subscription Fees and User Communication

– Subscription fees are subject to change at the sole discretion of Black Umbrella Billing and/or the Controller.
– User communication may be used for sending offers, information, or other commercially oriented emails based on user preferences.

Sponsors, Advertisers and Third Parties

– The Merchant has no control over third-party websites and assumes no responsibility for their content.
– Users agree that the Merchant shall not be responsible for any loss or damage incurred as a result of dealings with third parties found through this Website.
